Lifted Goods & Services Agreement

1. Purpose
Retailer engages Lifted to provide technology, marketplace, logistics coordination, payment coordination, delivery management, customer acquisition, marketing, reporting, and related support services.
2. Services Provided by Lifted
Lifted may provide:
- Marketplace listing services
- E-commerce services
- Customer acquisition
- Marketing services
- Delivery coordination
- Dispatch services
- Logistics management
- Payment coordination
- Inventory synchronization
- Customer support
- Reporting and analytics
3. Retail Sales
All cannabis sales are made by the Retailer. Retailer remains solely responsible for:
- OCM compliance
- Product inventory
- Product pricing
- Product descriptions
- Tax collection and remittance
- License compliance
- Consumer eligibility requirements
4. Delivery Management
To the extent permitted by applicable law, Lifted may:
- Coordinate deliveries
- Schedule deliveries
- Dispatch drivers
- Manage delivery logistics
- Provide delivery services
- Communicate delivery status to customers
Retailer authorizes Lifted to coordinate and manage delivery operations for orders placed through the Lifted platform.
5. Payment Coordination
Lifted may:
- Facilitate payment processing
- Facilitate ACH payments
- Coordinate payment collection
- Coordinate remittance to Retailer
- Facilitate refunds and adjustments
Retailer authorizes Lifted to coordinate payments relating to orders placed through the Lifted platform.
6. Order Management
Retailer authorizes Lifted to:
- Receive customer orders
- Transmit orders to Retailer
- Coordinate fulfillment
- Schedule deliveries
- Manage order communications
- Provide customer support relating to orders
7. Regulatory Compliance
Both parties agree to comply with all applicable laws and regulations.
If regulations change, Lifted may modify workflows, procedures, and service offerings as reasonably necessary to maintain compliance.
8. Independent Contractor
Lifted and Retailer are independent contractors. Nothing in this agreement creates:
- A partnership
- Joint venture
- Employment relationship
- Ownership interest
- True party of interest relationship
9. Termination
Either party may terminate participation in the Lifted platform upon written notice.
10. Governing Law
This agreement shall be governed by the laws of the State of New York.
